By accessing or using the PropAI Deal Analyser (“the Tool”), you agree to be bound by the following terms and conditions. If you do not agree, you must not use the Tool.
The Tool is operated by Waterside Technology LTD (company number 17141235), a company registered in England and Wales, whose registered office is at Suite A, 82 James Carter Road, Mildenhall, IP28 7DE. In these terms, “we”, “us” and “our” mean Waterside Technology LTD.
1. Nature of the Service
The Tool is a property investment analysis calculator designed to assist users in evaluating potential property deals. It provides estimates, projections, and indicative figures based on user-supplied inputs and publicly available data.
2. Not Financial Advice
Waterside Technology LTD is not authorised or regulated by the Financial Conduct Authority (FCA). Nothing produced by the Tool constitutes financial advice, investment advice, tax advice, or any other form of professional advice. All outputs — including but not limited to profit projections, yield calculations, cash flow estimates, AI-generated assessments, and deal verdicts — are for informational and illustrative purposes only.
You must not rely on the Tool's outputs as the sole basis for any investment decision. You should always seek independent advice from a suitably qualified and regulated professional (such as a financial adviser, solicitor, surveyor, or accountant) before committing to any property transaction.
3. Accuracy & Limitations
While we endeavour to ensure the Tool's calculations are reasonable, we make no warranty or representation — express or implied — as to the accuracy, completeness, reliability, or suitability of any output. Calculations may be based on assumptions, averages, or simplified models that do not reflect your specific circumstances. Market conditions, tax rules, lending criteria, and property values can change at any time.
Stamp Duty calculations assume the higher rate (additional property surcharge) applies. Actual Stamp Duty liability may differ depending on your individual circumstances.
4. AI-Powered Features
Certain features of the Tool use artificial intelligence (AI) via third-party providers (currently OpenAI) to generate estimates and assessments. AI outputs are inherently probabilistic and may contain errors, omissions, or inaccuracies. AI-generated content does not constitute professional advice and should be treated as a starting point for your own research, not a definitive answer.
When you use AI features, relevant property data from your current analysis is transmitted to the AI provider for processing. That processing is carried out under a data processing agreement with the provider, with further detail set out in our Privacy Policy. The AI provider's own terms of service and privacy policy also apply to this processing.
5. Eligibility & Your Account
You must be at least 18 years old and able to enter into a legally binding contract to use the Tool. The Tool is intended for use in the United Kingdom and for your own genuine property-investment analysis.
Accounts are created and accessed using a one-time magic link sent to your email address — there is no password. This means access to your account depends on access to your email inbox, so you are responsible for keeping your email account secure. You must provide accurate, current registration details, keep them up to date, and tell us promptly at hello@prop-ai.tech if you believe your account has been accessed without your authorisation. You are responsible for activity that takes place under your account.
Each person may hold one account. You must not create multiple or duplicate accounts, or register under a false identity, in order to evade usage limits, a suspension, or a ban. We may refuse, suspend, or close accounts that we reasonably believe breach this section.
6. Acceptable Use
When using the Tool, you must not:
- use the Tool for any unlawful, fraudulent, or harmful purpose, or in breach of these terms;
- access or harvest the Tool or its data by automated means — including scraping, crawlers, bots, or scripted requests — or place an unreasonable load on our infrastructure;
- copy, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying ideas of the Tool, except to the extent this restriction is prohibited by law;
- resell, rent, sublicense, redistribute, or otherwise make the Tool or its outputs available to any third party, or use them to build or operate a competing product or service — except that you may share your own analysis outputs (such as an exported report) with your own professional advisers or co-investors for your own genuine property-investment analysis;
- circumvent, disable, or interfere with any security, authentication, rate-limiting, or access-control feature; or introduce any malware, virus, or harmful code;
- infringe the intellectual-property or other rights of any third party; or
- present the Tool's outputs to any other person as regulated financial, investment, or other advice.
7. Licence to Use the Tool
Subject to your compliance with these terms, Waterside Technology LTD grants you a personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Tool for your own property-investment analysis. This licence does not transfer any ownership in the Tool to you, and all rights not expressly granted are reserved (see the Intellectual Property section below). We may suspend or withdraw this licence in accordance with the Suspension & Termination section.
8. Your Content
You retain ownership of the property details, financial inputs, notes, and other content you enter into the Tool (“Your Content”). You grant us a worldwide, royalty-free, non-exclusive licence to host, store, copy, process, and transmit Your Content solely to operate, secure, support, and improve the Tool — including transmitting relevant parts of it to the sub-processors described in our Privacy Policy (for example, sending analysis data to our AI provider when you use AI features). This licence ends when Your Content is deleted, except for copies retained as set out in our Privacy Policy or required by law.
You are responsible for Your Content, including its accuracy and your right to provide it. Where Your Content includes personal data, we handle it as described in our Privacy Policy.
9. Feedback
If you choose to send us feedback, suggestions, bug reports, feature requests, or other ideas about the Tool — including through any in-app feedback feature or during a beta or early-access programme — you do so voluntarily. You agree that we may use that feedback freely and without restriction, attribution, or any obligation or compensation to you, including to develop, improve, and commercialise the Tool. We are under no obligation to use or to keep confidential any feedback you provide.
10. Subscriptions, Trials & Payment
Free trial. We may offer a free trial with limited usage so you can evaluate the Tool. The current trial length is shown when you sign up. One free trial is available per person; you must not create multiple accounts or identities to obtain additional trials. To start a trial you provide payment details, but you are not charged during the trial. Unless you cancel before the trial ends, your paid subscription starts automatically when the trial ends and we charge the subscription fee for the plan you chose. You can cancel at any time before then from the billing section in Settings. We may change or withdraw trial offers at any time.
Price. The current plans, their prices, and what each includes are shown when you sign up and in your account. Any price shown is the total amount payable and includes VAT and any other mandatory charges — there are no hidden fees added later.
Billing & renewal. Paid subscriptions are billed monthly in advance and renew automatically each month until you cancel. Payments are processed by our payment provider, Stripe. We will send a receipt for each payment so you always know when you have been charged.
Cancellation. You can cancel at any time from the billing section in Settings. Cancellation takes effect at the end of your current paid month, and you keep access until then. Except where you have a statutory right to a refund, we do not refund the remainder of a paid month after it has started.
Your 14-day cancellation right (consumers). If you are a consumer, you have a legal right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel a new paid subscription within 14 days of taking it out. By subscribing and starting to use the Tool, you expressly request that we begin providing the service immediately. You acknowledge that if you cancel within the 14-day period after the service has begun, we may charge you a proportionate amount for the service actually provided up to the point you tell us you are cancelling, and that your right to cancel is lost once the service has been fully performed. This does not affect your other statutory rights.
Price changes. We may change our prices. If we do, we will give you at least 30 days' notice before the change takes effect, and you can cancel before it applies if you do not wish to continue at the new price.
Failed payments. If a payment fails, we may suspend your access to paid features until the outstanding amount is paid.
11. Data Privacy & Storage
The Tool stores your property analysis data locally in your browser and syncs it to our cloud infrastructure (AWS) so you can access it across devices. Your data may also be shared with third-party services in the following circumstances:
- When you use AI-powered features, relevant property data is sent to OpenAI for processing via our backend.
- When you use location or crime data features, postcodes or coordinates may be sent to public APIs (Police API, geocoding services).

12. Limitation of Liability
Nothing in these terms excludes or limits our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for any of your statutory rights as a consumer — including your right under the Consumer Rights Act 2015 to a service carried out with reasonable care and skill — which these terms do not affect.
We provide the Tool with reasonable care and skill, but otherwise on an “as is” and “as available” basis. Subject to the paragraph above, and to the fullest extent permitted by law, we are not liable for:
- any investment, trading, or property loss, or any decision you make in reliance on the Tool's outputs (as explained in the Not Financial Advice section, the Tool is an educational and modelling aid, not advice);
- any indirect or consequential loss; or
- any loss of profit, anticipated savings, business, opportunity, goodwill, or data, and — if you are a consumer — any loss that was not reasonably foreseeable when you accepted these terms.
Subject to the first paragraph of this section, our total aggregate liability to you arising out of or in connection with the Tool and these terms is limited to the greater of (a) the total fees you paid us in the 12 months before the event giving rise to the liability, or (b) £100.
13. Intellectual Property
All content, design, code, and branding associated with the Tool are the property of Waterside Technology LTD. Except for the limited licence to use the Tool granted to you above, you may not copy, reproduce, distribute, or create derivative works based on the Tool without prior written consent.
14. Marketing Communications
With your consent, we may use the email address associated with your account to send you marketing communications about the Tool and related educational content — for example product updates, new features, how-to guides, and general property-investment education. These communications relate only to our software and educational material. They are not financial promotions and are not an invitation or inducement to engage in investment activity, and we will not use them to offer, recommend, or promote any specific property, investment, deal, or syndicate. As stated in section 2, Waterside Technology LTD is not authorised or regulated by the Financial Conduct Authority. You can opt in or out of marketing emails at any time, and your choice does not affect your ability to use the Tool.
15. Suspension & Termination
You may stop using the Tool at any time and may close your account from Settings. Closing your account is handled as described in our Privacy Policy.
We may suspend or terminate your access to the Tool, in whole or in part, with immediate effect where you materially breach these terms, where we reasonably suspect abuse (including the account and trial circumvention described above), where required for non-payment, or where necessary to comply with the law or protect the Tool or its users. Where it is reasonable to do so, we will give you notice. On termination, your licence to use the Tool ends.
16. Changes to These Terms
We may update these terms from time to time. If we make a material change — one that reduces your rights or increases your obligations — we will give you reasonable notice and ask you to review and accept the updated terms before you continue to use the Tool. If you do not accept a material change, you can stop using the Tool and close your account at any time, as described in the Suspension & Termination section; you will not be bound by the new terms unless you accept them.
Minor changes — for example clarifications, corrections, or updates that do not reduce your rights — take effect from the date we post the updated terms, and your continued use of the Tool after that date means you accept them. The “Last updated” date at the top of these terms always shows when they last changed.
17. General
- Events beyond our control. We are not responsible for any failure or delay in providing the Tool that is caused by events outside our reasonable control.
- Assignment. We may transfer our rights and obligations under these terms to another organisation, and will tell you if we do; your rights will not be affected. You may not transfer your rights or obligations under these terms to anyone else.
- Severability. If any provision of these terms is found to be unlawful or unenforceable, the remaining provisions continue in full force.
- No waiver. If we do not enforce a right under these terms, that is not a waiver of that right.
- Third parties. These terms are between you and us. No one else has any rights to enforce them under the Contracts (Rights of Third Parties) Act 1999.
- Entire agreement. These terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Tool.
18. Governing Law & Jurisdiction
These terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these terms is subject to the jurisdiction of the courts of England and Wales. If you are a consumer, you may also bring proceedings in the courts of the part of the United Kingdom in which you live (Scotland or Northern Ireland), where the law of that nation will apply.
